Terms of Service

1. Parties

These Terms of Service (“Terms”) are a contract between Quantum 2x Ltd, a company registered in England and Wales (Company Number: 16383370), registered office at 3rd Floor, 86–90 Paul Street, London, England, EC2A 4NE (“Q2X”, “we”, “us”), and the individual or organisation (“you”, “Customer”) accessing or using the MPP Registry service (“Service”).

By creating an account or using the Service, you accept these Terms in full.

2. Service Description

The Service provides a registry for Model Package Protocol (MPP) packages, including package storage, cryptographic signing infrastructure, WASM sandbox tooling, API access, and associated documentation. The Service is provided on a subscription basis with the plans described at /pricing.

3. Accounts and Access

You must create an account to access most features of the Service. You are responsible for maintaining the security of your credentials and API tokens. You must notify us immediately of any unauthorised access. We may suspend accounts that we reasonably believe have been compromised.

4. Subscriptions and Billing

4.1 Free Plan

The Free plan is available without payment and is subject to the limits described on the pricing page. We may modify or discontinue Free plan terms with 30 days notice.

4.2 Paid Plans

Paid plans are billed monthly or annually as selected. Paid plans have a 3-month minimum term. You may cancel after the 3-month minimum; your subscription remains active until the end of the current billing period. No refunds are issued for partial billing periods.

4.3 Plan Limits

The Free plan permits publication and verification of public packages only, subject to reasonable API rate limits to ensure service availability. Private namespaces, audit logs, SSO, and team management are available on paid plans only. Paid subscriptions are charged a flat monthly fee covering unlimited registry API calls within fair use — we do not apply per-invocation or per-attestation overage charges.

4.4 Price Changes

We will give at least 30 days notice of price increases to existing subscribers. Your continued use of the Service after a price change takes effect constitutes acceptance.

5. Acceptable Use

You must not use the Service to:

  • Publish packages containing malicious code, malware, or deceptive functionality
  • Circumvent or test security controls without written authorisation from Q2X
  • Attempt to access data belonging to other tenants
  • Use the Service in violation of any applicable law or regulation
  • Engage in activities that excessively burden our infrastructure (DDoS, scraping, etc.)

We may suspend or terminate your account immediately if we determine that you have violated these provisions.

6. Package Publishing

By publishing a package to the registry, you represent and warrant that you own or have the rights to all content in the package, that the package does not infringe any third-party intellectual property rights, and that the capability manifest accurately reflects all permissions the package exercises at runtime.

Published package versions are immutable. You may deprecate a version but not delete it. This is by design — immutability is a core security property of the registry.

7. Intellectual Property

Q2X retains all intellectual property rights in the Service, the MPP protocol specification, and Q2X-published packages. You retain all intellectual property rights in packages you publish and in your own data. The MPP CLI and runtime client libraries are open source under the MIT licence.

8. Service Availability and SLAs

SLAs apply to paid plans as described on the pricing page. The Free plan is provided without uptime guarantees. Planned maintenance windows are excluded from SLA calculations.

9. Limitation of Liability

To the maximum extent permitted by English law, Q2X's total liability to you for any claim arising under or in connection with these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim. In no event shall Q2X be liable for indirect, incidental, special, or consequential damages.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under English law.

10. Indemnity

You agree to indemnify and hold harmless Q2X from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your published packages, or your violation of these Terms.

11. Termination

Either party may terminate these Terms by giving written notice. Q2X may terminate immediately for cause (material breach, illegal use, non-payment). Upon cancellation, your subscription is downgraded to the Free plan and access to private namespace features ceases. Private packages are retained in an inaccessible state for 30 days to allow export; after 30 days they are permanently deleted in accordance with the DPA. Account data is retained for 90 days after account deletion, after which it is deleted, except where retention is required by law.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may modify these Terms with 30 days notice to existing subscribers. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you may terminate your account before the effective date.
